Terms of Service

1. Agreement
These Terms of Service ("Terms") form a binding agreement between you ("Clinic", "you") and Vaidant ("we", "us"). By creating an account or using the platform, you agree to these Terms.
If you are registering on behalf of a dental practice, you confirm that you have the authority to bind that practice to these Terms.
2. The Service
Vaidant is a cloud-based practice management platform for dental clinics in India. The platform includes patient records, appointment scheduling, treatment plans, dental charting, billing, inventory, and communication tools (email reminders and recall notifications).
We reserve the right to modify, suspend, or discontinue any part of the service with reasonable notice. We will not remove core functionality without at least 30 days' notice.
3. Accounts and Access
- You are responsible for keeping your login credentials secure
- You are responsible for all activity that occurs under your account
- You must notify us immediately at support@vaidant.io if you suspect unauthorised access
- Accounts are non-transferable
4. Subscription and Payment
- Subscriptions are billed monthly (₹1,499/month) or annually (₹14,999/year)
- Payment is collected via Razorpay. By subscribing, you agree to Razorpay's payment terms
- Subscriptions auto-renew unless cancelled before the renewal date
- We may change pricing with 30 days' notice. If you do not agree to the new pricing, you may cancel before the change takes effect
- All prices are inclusive of applicable GST where required by law
5. Refund Policy
Monthly subscriptions are non-refundable once the billing period has started. Annual subscriptions are eligible for a prorated refund within the first 30 days if the platform does not meet your needs. After 30 days, annual subscriptions are non-refundable.

6. Your Data and Patient Data
You retain full ownership of all data you enter into Vaidant, including patient records. We do not claim any rights over your data.
You are responsible for:
- Obtaining patient consent before entering their personal and health data into the platform
- Ensuring your use of the platform complies with applicable Indian laws, including the Digital Personal Data Protection Act, 2023
- The accuracy of data you enter
We process patient data solely on your instructions to provide the service, as described in our Privacy Policy.
7. Acceptable Use
You agree not to:
- Use the platform for any purpose other than managing your dental practice
- Attempt to reverse engineer, copy, or resell the platform
- Upload malicious code or attempt to compromise platform security
- Use the platform to send unsolicited communications to patients
- Share your account with clinics that have not subscribed
8. Uptime and Support
We target 99.5% monthly uptime, excluding scheduled maintenance. Scheduled maintenance will be communicated at least 24 hours in advance.
Support is available Monday to Saturday, 9:00 AM – 6:00 PM IST via email at support@vaidant.io. We aim to respond within one business day.
9. Limitation of Liability
Vaidant is a practice management tool. It is not a clinical decision support system and is not a substitute for professional medical or dental judgement. We are not liable for any clinical outcomes arising from use of the platform.
To the maximum extent permitted by Indian law, our total liability to you for any claim arising from these Terms or your use of the platform shall not exceed the total subscription fees paid by you in the three months preceding the claim.
We are not liable for indirect, incidental, or consequential damages, including loss of business or loss of data resulting from your own actions.
10. Termination
You may cancel your subscription at any time from your account settings. Access continues until the end of the current billing period.
We may suspend or terminate your account if you materially breach these Terms, with notice where reasonably practicable. Upon termination, we will retain your data for 90 days to allow export, after which it will be permanently deleted.
11. Governing Law and Disputes
These Terms are governed by the laws of India. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Ahmedabad, Gujarat, India.

12. Changes to These Terms
We may update these Terms from time to time. Material changes will be notified to registered clinics by email at least 14 days before they take effect. Continued use of the platform after that date constitutes acceptance of the updated Terms.
